End User License Agreement

Acceptance

This End User License Agreement (the "Agreement") is between you and FoxAVideo Tech Pte. Ltd. ("we", "us"). By installing, activating, or using the Tholos AI software (the "Software"), you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

License grant

Subject to your compliance with this Agreement and the Terms of Service, including timely payment of applicable subscription fees, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software for your own internal purposes — whether personal or within the entity that purchased the license — for the duration of your active subscription term.

This is a license, not a sale. We retain all right, title, and interest in and to the Software, including all intellectual property rights.

Device activations

The number of devices on which you may activate the Software is determined by your subscription tier:

• Standard — one (1) device
• Professional — two (2) devices
• Business — five (5) devices

If you replace or wipe a device, you may deactivate it through the customer portal to free up an activation slot. Contact support if you exhaust deactivations due to hardware failure or theft and we will assist on a case-by-case basis.

Sharing license keys, redistributing your license to others, or using the Software simultaneously on more devices than your tier allows is a material breach of this Agreement.

Restrictions

Except to the extent expressly permitted by this Agreement or applicable law, you will not:

• Copy, modify, translate, or create derivative works of the Software
• Reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code
• Circumvent, disable, or interfere with any license enforcement, activation, or security mechanism
• Remove, alter, or obscure any proprietary notices, labels, or marks
• Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software or your license to any third party
• Use the Software to develop or train a competing product or service
• Make the Software available to third parties as a service, including as part of a managed-service or outsourcing offering, without a written agreement with us
• Use the Software in violation of applicable law

AI models

Tholos AI executes AI models that run locally on your hardware. Models bundled with the Software or downloaded through the in-app catalog are provided by third parties and are subject to their own license terms. Examples include but are not limited to:

• Llama models — Meta Llama Community License
• Mistral models — Apache 2.0 or Mistral AI Research / Commercial License, depending on the variant
• Qwen models — Tongyi Qianwen License
• Gemma models — Gemma Terms of Use
• Phi models — Microsoft Research License
• Whisper-family ASR models — MIT License
• Various OCR and embedding models — see model documentation

You are responsible for reviewing and complying with the license applicable to each model you choose to download or run. We do not grant you any rights in third-party models beyond the right to use the Software to load and run them locally; the model providers' licenses control your other rights.

Outputs generated by any model are generated on your machine. Subject to the applicable model license, you own the outputs you generate and bear sole responsibility for how you use them.

Open-source components

The Software includes open-source libraries, each governed by its own license. A complete list with attribution and license texts is available within the application (Help → Open-source notices) and on our release page. Nothing in this Agreement limits your rights under those open-source licenses with respect to the components they cover.

Updates

We may release updates from time to time, including bug fixes, security patches, new features, model catalog changes, and changes to bundled third-party components. Updates are part of the Software and are governed by this Agreement.

Update checking is optional and, in the Business tier's air-gap mode, disabled by default. You may install updates manually from the release page at any time.

Ownership and feedback

We and our licensors own all intellectual property rights in the Software, including any updates and any feedback-derived improvements. If you choose to send us suggestions, ideas, or feedback, you grant us a perpetual, royalty-free, worldwide license to use them without obligation, but we are under no duty to use any feedback or to keep it confidential.

We do not claim any rights in your documents, prompts, model outputs, or other content you process with the Software. As described in the Privacy Policy, none of that content is transmitted to us.

Termination

This Agreement remains in effect for the duration of your active subscription. It terminates automatically if your subscription ends or if you materially breach this Agreement. We may also terminate this Agreement on notice if we discontinue the Software, in which case we will provide a pro-rated refund of any prepaid but unused subscription fees.

On termination, you must stop using the Software and delete all installed copies. Sections that by their nature should survive termination (including ownership, restrictions, disclaimers, limitations of liability, and governing law) will survive.

No warranty

The Software is provided "as is" and "as available." To the maximum extent permitted by law, we and our licensors disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, accuracy of AI-generated output, non-infringement, and quiet enjoyment.

AI models — local or otherwise — can produce inaccurate, biased, or otherwise unsuitable output. You must review and validate outputs before relying on them. Compliance with sector regulations such as HIPAA, GDPR, MAS guidelines, or similar frameworks depends on your overall workflow and is not guaranteed by the Software alone.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, arising out of or related to this Agreement or the Software, even if advised of the possibility of such damages.

Our total aggregate liability under this Agreement, regardless of the cause of action, will not exceed the amounts you paid us for the Software in the 12 months preceding the event giving rise to the liability.

Export control and sanctions

The Software and any third-party AI models distributed through the Software may be subject to export control and sanctions laws of Singapore, the United States, the European Union, and other jurisdictions. You may not download, install, or use the Software in violation of such laws, and you represent that you are not located in, ordinarily resident in, or a national of any jurisdiction subject to a comprehensive embargo, and that you are not on any restricted-party list.

Governing law

This Agreement is governed by the laws of the Republic of Singapore, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts of Singapore for any dispute not subject to arbitration under applicable law.

If any provision of this Agreement is held unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any provision is not a waiver of our right to enforce it later.
